3D CertHub Subscription Terms

These Subscription Terms apply to the purchase and use of paid plans, free trials, licence keys, activation-based access, and other paid or time-limited access arrangements for the 3D CertHub software and related services (the “Software”).

These Subscription Terms form part of your agreement with 3D CertHub UK Ltd, company number 16891874, registered office 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ (“3D CertHub”, “we”, “us”, “our”).

By purchasing, activating, or using a free trial, licence, or paid subscription, you agree to these Subscription Terms together with our Software Licence Agreement, Privacy Policy, and any terms shown at checkout or otherwise provided to you at the point of purchase.

1. Subscription Plans

1.1 We may offer access to the Software through one or more of the following plans:

a. a Monthly Plan, billed every calendar month and renewing automatically until cancelled;
b. a 6-Month Plan, available for a one-off payment and lasting for 6 months from activation, with no automatic renewal;
c. a 12-Month Plan, available for a one-off payment and lasting for 12 months from activation, with no automatic renewal;
d. a Free Trial, subject to the limits set out in clause 2; and
e. any other promotional or alternative plan we may make available from time to time.

1.2 The features, access rights, prices, and plan details for each subscription will be shown at checkout, in your invoice, or in accompanying plan information.

1.3 Your right to use the Software is limited to the plan you have purchased or activated.

2. Free Trial

2.1 Where a free trial is offered, it is available for 30 days from activation or until completion of one technical file, whichever happens first.

2.2 The free trial does not require payment.

2.3 The free trial is limited to one trial per person.

2.4 We may use technical measures to validate trial eligibility and prevent repeated, abusive, or unauthorised trial use.

2.5 When the free trial ends, the Software will enter read-only mode. In read-only mode:

a. existing files remain accessible;
b. no new technical files can be created; and
c. no changes can be saved.

2.6 To continue using the Software with full functionality after the trial ends, you must purchase a valid paid subscription or other valid access plan.

3. Paid Subscriptions and Fixed-Term Access

3.1 Paid access begins when payment has been successfully processed and, where applicable, when the Software has been activated using a valid licence key or entitlement.

3.2 The Monthly Plan renews automatically every calendar month unless cancelled before the next renewal date.

3.3 The 6-Month Plan is a fixed-term plan paid in advance by one-off payment. It lasts for 6 months from activation and does not renew automatically.

3.4 The 12-Month Plan is a fixed-term plan paid in advance by one-off payment. It lasts for 12 months from activation and does not renew automatically.

3.5 Paid plans give you a limited right to use the Software only for the purchased term and subject to these Subscription Terms and our Software Licence Agreement.

4. Monthly Plan Renewal and Cancellation

4.1 If you purchase a Monthly Plan, you authorise us or our payment provider to take payment for each calendar month renewal period unless and until you cancel.

4.2 Payments are processed by Shopify or its payment providers.

4.3 To avoid being charged for the next monthly period, you must cancel before the next renewal date.

4.4 If you cancel a Monthly Plan, cancellation stops future renewals only. Unless we expressly state otherwise, cancellation does not normally entitle you to a refund for the current billing period.

4.5 If a monthly renewal payment fails, we may:

a. retry payment;
b. notify you that payment has failed;
c. suspend or restrict access;
d. place the Software into a grace period or read-only state; or
e. cancel the subscription.

5. What Happens When a Paid Subscription Ends or Lapses

5.1 If a paid subscription expires or lapses, a 7-day grace period will apply.

5.2 During the grace period:

a. you may continue to use the Software and save changes;
b. you will be warned that your subscription has expired; and
c. you should renew your subscription before the grace period ends if you want uninterrupted full access.

5.3 After the 7-day grace period ends, the Software will enter read-only mode.

5.4 In read-only mode following expiry of a paid subscription:

a. existing files remain accessible;
b. saving changes is blocked; and
c. creation of new technical files is blocked.

5.5 Renewing or reactivating a valid paid subscription restores full access, subject to successful entitlement validation.

6. Licence Keys and Device Locking

6.1 Each licence key is valid for one machine only, unless we expressly state otherwise in writing.

6.2 On activation, the Software is locked to the device on which it is first activated.

6.3 Licence keys are non-transferable and must not be sold, shared, assigned, or given to another user or business.

6.4 Licence keys cannot be self-transferred between machines.

6.5 If you need to move your licence to another machine, you must contact support. Any transfer is at our discretion and may require verification or additional conditions.

6.6 We may use technical means to validate licence status, enforce activation limits, and prevent misuse, abuse, or unauthorised sharing.

7. Restrictions on Use

7.1 You must not:

a. share a licence key with another person or business;
b. attempt to activate the same key on multiple machines contrary to your plan;
c. circumvent, disable, or interfere with any licensing, activation, entitlement, or access-control measure;
d. use a trial, subscription, or licence in a fraudulent, misleading, or unauthorised way.

7.2 We may suspend or restrict access if we reasonably believe a licence key, account, or activation is being misused or used outside permitted limits.

8. Fees, Pricing, and Taxes

8.1 All prices are shown in the currency stated at checkout.

8.2 Unless stated otherwise, prices shown on our website or checkout page are inclusive of VAT where applicable.

8.3 You are responsible for ensuring your billing and contact details are accurate and up to date.

8.4 We may change pricing for future purchases or future renewal periods by giving reasonable notice before the new pricing takes effect.

9. Refunds

9.1 Unless required by law or expressly stated otherwise, payments are non-refundable.

9.2 If you are a consumer and have statutory rights in relation to digital content or subscription services, those rights remain unaffected.

9.3 Where digital content or software access is supplied immediately after purchase, or where activation begins promptly, you may lose certain cancellation rights if you expressly agreed to that at checkout.

10. Support and Restoration of Access

10.1 Support is provided only to the extent we make it available for the relevant plan or otherwise agree.

10.2 Where a subscription has lapsed and the Software has entered read-only mode, renewing the subscription restores full access once your renewed entitlement has been successfully validated.

10.3 Machine transfers, activation issues, and licence problems must be handled through support and are not self-service unless we expressly provide that functionality.

11. Changes to Plans or Features

11.1 We may improve, modify, replace, suspend, or discontinue features, tools, or plan structures from time to time.

11.2 We may also change what is included in a plan for future subscribers or renewal periods.

11.3 Where a change materially affects an active paid subscription, we will take reasonable steps to give notice.

12. Suspension or Termination

12.1 We may suspend, restrict, or terminate access if:

a. payment is overdue or fails;
b. you breach these Subscription Terms, our Software Licence Agreement, or other applicable terms;
c. you misuse the Software, a trial, a licence key, or an activation;
d. your use creates legal, security, reputational, or operational risk; or
e. we are required to do so by law.

12.2 Suspension or termination does not remove your obligation to pay any outstanding amounts already due.

13. Consumer and Business Use

13.1 The Software is intended primarily for business and professional use, including by small manufacturers managing toy safety compliance documentation.

13.2 If you purchase or use the Software as a consumer, any mandatory legal rights you have under applicable law remain unaffected.

14. Governing Law

14.1 These Subscription Terms are governed by the law of England and Wales.

14.2 The courts of England and Wales shall have jurisdiction, except where mandatory consumer law provides otherwise.

Monthly Plan Billed every month and renews automatically. You may cancel at any time before the next renewal date to stop future charges. Cancellation takes effect at the end of the current billing period — no refund is issued for the current period. If a renewal payment fails, we may retry payment, suspend access, or place the Software into read-only mode.

6-Month Plan A fixed-term, one-off payment lasting 6 months from activation. No automatic renewal. Non-refundable once access has been granted.

12-Month Plan A fixed-term, one-off payment lasting 12 months from activation. No automatic renewal. Non-refundable once access has been granted.

Free Trial 30 days or one completed technical file, whichever comes first. No payment required. Limited to one trial per email address.

Grace Period When a paid subscription expires, a 7-day grace period applies during which full access continues. After 7 days, the Software enters read-only mode — existing files remain accessible but no new files can be created or saved. Renewing your subscription restores full access.

Digital Content & Consumer Rights Where digital access begins immediately upon purchase and you have expressly agreed at checkout, certain cancellation rights under the UK Consumer Contracts Regulations 2013 may not apply. Statutory rights are not affected.
